These Terms & Conditions (the "Terms") constitute a legally binding agreement between you ("User", "Member", "you", or "your") and AV ("Asset Value Connect", "we", "us", or "our"). These Terms apply whenever you:

• Visit or browse the AV website, domains, or subdomains;
• Register, activate, or maintain an AV member account;
• Access or use the dashboard, portfolio tools, and investor features;
• Participate in or purchase shares of listed projects;
• Use the AV Wallet for deposits, withdrawals, or balances;
• Create, buy, or sell listings on the AV Marketplace;
• List, view, or acquire interests in gold products on the Gold Marketplace;
• Request assistance or transactions through the Finance Team;
• Participate in the AV Affiliate and referral program; or
• Access any other software, application, or service offered by AV.

Please read these Terms carefully before using our platform. By accessing AV, creating an account, or clicking "Accept", you acknowledge that you have read, understood, and agree to be bound by all provisions set forth herein.

To create an AV account and access our investment ecosystem, you must satisfy the following minimum criteria:

• You must meet the minimum legal age required to enter into binding financial contracts in your jurisdiction of residence (and in no case be under 18 years of age);
• You must provide truthful, complete, and accurate registration information;
• You must possess full legal power and authority to enter into these Terms;
• You must complete all required identity verification and KYC procedures;
• You must use AV only in jurisdictions where participation in online project investment and digital asset management is legally permitted; and
• You must not be subject to international financial sanctions, trade embargoes, or designated restricted-person lists.

AV reserves the right to restrict or discontinue services in specific countries or jurisdictions to maintain compliance with applicable laws and regulatory directives.

Each user is permitted to create and maintain only one personal account, unless explicit written authorization is granted by AV. As an account holder, you agree that you are solely responsible for:

• Safeguarding your passwords, login credentials, and two-factor authentication (2FA) tokens;
• Maintaining accurate, up-to-date account and contact details;
• Promptly notifying AV of any unauthorized access, account breach, or suspicious security event; and
• All transactions and activities conducted under your account credentials.

AV may implement automated security locks and require additional identity re-verification whenever unusual, anomalous, or suspicious account access is detected.

Certain AV features—including project investments, wallet withdrawals, high-volume transactions, and marketplace access—require mandatory identity verification (KYC). In accordance with our compliance protocols, AV may request:

• Full legal name, nationality, and date of birth;
• Government-issued photographic identification (e.g., Passport, National ID, Driver's License);
• Proof of residential address (e.g., utility bill or bank statement dated within 90 days);
• Live facial biometric verification (selfie confirmation);
• Source-of-wealth and source-of-funds declarations where required by transaction thresholds; and
• Corporate registry documentation for institutional or corporate accounts.

Verification checks may be periodically refreshed or re-evaluated based on regulatory requirements.

The AV Wallet is a platform accounting interface designed to manage eligible balances, track funds, and execute transactions across the AV ecosystem, including:

• Account deposits and approved payment gateway credits;
• Withdrawal requests to member-verified payout destinations;
• Peer-to-peer AV transfers between eligible platform members;
• Purchasing project shares and receiving active project cycle distributions;
• Executing member-to-member marketplace trades via Admin Escrow; and
• Receiving referral commissions under the Affiliate Program.

The Gold Marketplace showcases verified gold bullion, proof coins, and precious metals available for member participation. Each listing provides:

• Gold product overview, location, sector classification, and managing entity;
• Total funding target, share denomination price, and allocation progress;
• Estimated project timeline, milestones, and development phase;
• Due diligence reports, title verifications, and architectural summaries; and
• Risk factor disclosures and projected return benchmarks where permitted.

Members are responsible for reviewing all independent project documentation before allocating capital.

Purchasing a "Project Share" entitles the member to a contractual fractional economic participation right in the specified project's net distributable proceeds, governed by the applicable project agreement.

A Project Share does not confer direct title to physical gold assets unless explicitly structured and registered under local legal gold ownership documents.

Eligible active projects generate economic distributions credited to the member's AV Wallet in accordance with the project's performance schedule.

Participation in gold investment entails substantial financial risk. By using AV, you explicitly acknowledge and accept the following risks:

• Capital Loss: You may lose some or all of the capital allocated to a project;
• Market Volatility: Gold market prices are subject to economic and market fluctuations;
• Liquidity Risk: Project shares may have locked holding periods and may not be immediately liquidated or sold;
• Operational & Construction Delays: Development timelines, supply chain disruptions, and weather may impact project schedules;
• Regulatory & Legal Changes: Changes in tax laws, municipal zoning, or foreign investment regulations may affect net returns; and
• Currency Fluctuations: Multi-currency international investments are subject to foreign exchange rate movements.

The AV Marketplace enables eligible verified members to post and execute peer-to-peer buy and sell listings for AV platform units in accordance with platform trading rules.

All marketplace trades must be conducted strictly through the official automated platform workflow. Users are strictly prohibited from conducting off-platform private settlements or circumventing system escrow controls.

To prevent fraud and ensure transaction integrity, marketplace trades are supervised by AV Admin Escrow according to the following mandatory sequence:

Important: Never transmit funds or units outside the official transaction instructions provided within the verified AV dashboard interface.

AV hosts gold product listings for purchase and sale submitted by verified gold product owners, licensed brokerages, and authorized agents. All user-submitted listings undergo administrative due diligence and document checks prior to public listing.

Gold product inquiries and buyer-seller introductions must be initiated through official AV communication channels to ensure auditability and compliance.

Members may request Finance Team assistance for local currency conversions, wire transfers, and verified payment method routing.

Assigned payment instructions may contain specific validity expiration windows or countdown timers. Transactions completed after the expiration of an instruction window may require manual reconciliation.

Internal transfers between verified AV accounts require explicit user confirmation of recipient identifier and transfer amount. Once processed and committed to the ledger, internal transfers are irreversible.

AV reserves the right to hold, review, or reverse transfers that violate anti-money laundering regulations or arise from unauthorized account compromises.

Participation in the AV Affiliate Program allows approved partners to earn commissions based on verified referrals. Affiliates must adhere to strict promotional ethics. AV strictly prohibits:

• Promising or advertising guaranteed investment returns or zero-risk claims;
• Misrepresenting AV's regulatory status, licensing, or corporate identity;
• Sending unsolicited bulk commercial messages (SPAM); and
• Creating deceptive duplicate accounts or engaging in self-referral schemes.

Applicable transaction fees, withdrawal charges, network gas costs, and conversion spreads are displayed transparently before a user confirms a transaction.

Fee schedules may be adjusted periodically to reflect underlying banking and network operational costs. Current fee tiers are always accessible in your member dashboard.

As a user of AV, you agree to:

• Conduct yourself with honesty, good faith, and integrity in all platform interactions;
• Ensure all funds used on AV originate from legitimate and lawful sources;
• Verify transaction details, addresses, and payment instructions independently prior to confirmation; and
• Comply with all domestic and international tax reporting and filing obligations arising from your earnings.

You may not use AV for any of the following unlawful or harmful activities:

• Money laundering, terrorist financing, fraud, or extortion;
• Identity theft, impersonation, or submitting forged verification documents;
• Exploiting software vulnerabilities, reverse engineering, or scraping platform data;
• Market manipulation, wash trading, or artificial price inflation on the marketplace; and
• Circumventing platform access restrictions, KYC procedures, or geographic blocks.

AV may temporarily restrict, freeze, or suspend account access where reasonably necessary to investigate suspected fraud, failed KYC verification, court orders, or severe violations of these Terms.

Affected users will be notified and guided to our compliance support desk to facilitate resolution, except where prohibited by law enforcement directives.

All trademarks, logos, service marks, website architecture, user interface designs, software code, algorithms, and editorial content on AV are the exclusive property of AV and its licensors, protected by international copyright and intellectual property treaties.

AV integrates with third-party payment gateways, identity verification providers, banking partners, and blockchain networks. Your use of external services is subject to their independent terms and privacy policies.

We process your personal information in strict compliance with applicable data privacy legislation and our Privacy Policy. Member data is encrypted at rest and in transit.

AV provides a technology platform connecting investors and projects. AV is not a registered investment advisor, tax consultant, or financial planner. Information provided on the platform does not constitute personalized financial or investment advice.

To the maximum extent permitted by applicable law, AV, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill arising out of your access to or use of the platform.

AV reserves the right to modify these Terms, platform features, fee schedules, or eligibility rules at any time. When material updates are made, we will notify members via dashboard announcements or email, and update the "Effective Date" at the top of this page.

You may request closure of your AV account at any time, provided all outstanding obligations are resolved and no active project dispute or open escrow transaction remains pending.

Account closure does not eliminate existing contractual rights or obligations established prior to termination.
